National Council Members,
Constitution of 1979 that we are using now is indeed old and needs updating. We must acknowledge effort of the Executive to bring forward proposal for the reform.
(There was a fairly good version of revised by-laws prepared but not ratified: was this version given a consideration while proposal was prepared?)

These are Karate Ontario concerns regarding proposal for the adoption of the new by-laws.
General concerns are:
-disappearance of the National Council as a body that includes representatives of all member Provinces and Territories
-disappearance of the standing Committees that are specialist, competent ,bodies for their respective disciplines
- extreme concentration of decision making power solely in the hands of the Board
- restructuring of the voting process that enables easy dominance of one or two Provinces over all others
-unprecedented economical/financial power is invested in the Board
Specific concerns are:
(I will try to give comments as short as possible assuming that we are all familiar with the proposed text)
4.1 we are missing student, associate and life members?
4.2.3. we are asking applicant provincial member to be recognized by their respective Province rather than recognizing them by first by KC?
4.3.f no rationale given for negative -final- decision by the Board?
4.3.2. all members re-apply every year?
4.3.4 membership dues are set annually by the Board?
4.4.2 Board determines sanction; one appeals to the Board; the Board decision is final?
5.1.2 Special meetings may be outside of Canada; 1/3 of voting members may call the meeting (two Provincial Presidents ?)?
5.4 waiver of notice?
5.7 quorum ; again 1/3 of voting members...?
5.9 vote procedure?
5.15.1 voting privileges; b,c,d are not entitled to vote but their votes are given to President or delegate?
6.2 eligibility; persons not allowed to vote are eligible for the office of director?
6.8 directors may get paid for work done?
7.5 directors may amend by-laws?
8.6 borrowing powers? (again in 11.9)
9.1.5 remuneration?
10.1 committees?
We in Karate Ontario are deeply concerned with this proposal and wish to call all the members of the NC to ask the Executive to prepare a new version of the proposal in order to better reflect needs and character of Karate Canada.

Remember that this is a very important change but that it is needed for our association to be able to move ahead with new challenges. All the input that we gathered through the strategic planning session and our questionnaires were taken into account, as well as the valuable input of legal consultants involved in the governance of amateur sport and not-for-profit organisations for the last 20 years.
