Glad to see that the Bankies are not interested either . What we should be
asking is who put this idea of a merger into the journalist's head ?

Someone should maybe ask us about this then?

It appeared in 3 papers. We(Clydebank FC & Stevie Latimer) were
contacted by a journalist and he was put straight.

Clydebank FC will not entertain this idea.

MacFarlane fears for the future of Dumbarton

THE possibility of a merger between Dumbarton and the junior outfit Clydebank
has been floated after a proposed £1.2 million takeover of the Second Division
club collapsed.
Ian MacFarlane, the Dumbarton chief executive, admitted over the weekend that he
is worried about the future of the Second Division club.
MacFarlane had been negotiating with club supporter Philip Mills, now head of a
major Dubai-based company, regarding the proposed takeover.
However, Mills decided to walk away from the deal. He informed the club that his
legal advisers had made it clear he could end up paying for it but have no
control over its assets.
Mr MacFarlane, in a message to the club's fans, said: "The board of Dumbarton,
on advice from our legal advisors, completely refute this opinion. I am now
seriously concerned for the future of this club as the group who would have
taken over have the resources to take the club forward to greater achievements.
They were the only one in a sea of interested parties who did not seek ground
valuations, or request surveyor investigations.
"Mr Mills and his family are well-known Dumbarton people who would have been
safe custodians of the company. I am extremely saddened that they find it
necessary to withdraw at this time. I now intend to consider my own position
over the next few days."
One option now is to build a club for the Clydebank and Dumbarton area in a bid
to attract more support from the local authorities and from local fans.
Dumbarton's crowds this season have mostly been between 700 and 900.
A source said: "The idea of a DC United was spoken about some time ago, but then
shelved. But with the present situation with Dumbarton this idea could be
floated again. The idea at the time was for a stadium to be built much nearer
Clydebank."
The former Clydebank FC lost its position in senior football in 2002 and is now
trading as Airdrie United, but the fans of the club are behind the side which
keeps alive the name in junior football.

OK folks, we have sold about 100 tickets so far for the Blues and Country Music
Night a week on Saturday(18th March) at the Allied Community Suite. This is the
day we are scheduled to play Forfar Athletic at home. Sales are pretty good
considering that there are nearly two weeks to go. However to make the night a
meaningful success we need to sell at least 150. I would hope though that
genuine Sons fans could boost the numbers to 200 or more. Craig may be out of
the picture at SHS at the moment but he has been a magnificent servant to the
club and it is difficult to think of a player who has contributed more in recent
times. The night will consist of top entertainment from two great bands, a
buffet and a late bar. Even if Blues or Country might not be your thing, both
bands appeal to a much wider audience. Tickets are £10 available from Ryans Pet
Centre, Dumbarton F.C. and online at the link below.

Oh it fell flat on it's face. Suprise there then eh. Yes we can debate
Golden shares, securities, liabilities and the price of beef at Sloans in the
Newton. Which personally I think is far above what Gow the Butcher would have
charged even taking seasonally adjusted figures into account.

However bottom line. We are stuck with the board we have. And the hits just
keep on rolling.

Agree we are not in a good position now with an owner who wants out and a
valuable asset on his hands which he is sure to want to cash in the longer time
goes on. No investment by any of the other directors is likely so do we get
to a position where our owner thinks that it would be worth selling to anyone
at a knock down price just so that he can move on as he obviously wants to do
  ?

It's a fair point that you make. However if an investor is putting in a seven
figure sum, he would require some security. I would expect that most legal
advisors, faced with the situation that Philip Mills advisors were, would urge
caution. Put yourself in Mills position. Expected to invest a huge sum of money,
take on any present and future debt and a company which has consistently made a
loss. In addition to this it seems that it was his view that he was also
expected to do this with no effective security. I can assure you that this will
be a big issue for any prospective buyer. Would Fergus McCann, David Murray,
Roman Romanov or Brookes Mileson have invested facing the situation at
Dumbarton? I don't know but I seriously doubt it! The Golden Share was set up to
protect the club and the stadium for the future. It would SEEM however that what
has happened is that it has discouraged a meaningful and genuine investment in
the club. It was never put in place to do that.

The danger now is that there seem to be many other interested parties, lets hope
that none of them are predatory and aggressive enough to test the validity of
the Golden Share in court.

The Mills bid was in my view our best hope for the future. We are now in very
treacherous waters indeed.

In quotes which were on the newspaper wires but wern't published in all the
papers Philip Mills stated that the concern of his lawyers was that due to the
Golden Shares he would not have complete control over the club's assets and
he could not buy a company if that were the case. Correct me if I am wrong (
and I am sure that someone will ) but my understanding of the Golden Shares
is that they only confer voting rights if the owner is attempting to sell the
club's heritable assets ie is trying to sell the ground and therefore
potentially leaving the club homeless. Now if I were buying the club such a
proviso
would probably not concern me as I couldn't envisage a situation where I
would
want to sell the ground to the detriment of the club. If Mr Mills is worried
by the existence of the Golden Shares does that not imply that selling the
ground was on his agenda ? Sounds like a lucky escape to me.

Alec,

The story about the 100% of shares was not correct. Typical papers getting
things wrong. The concern of the buyer was that he would not have control over
the clubs assets. Before anyone jumps to conclusions, if you bought a house,
you'd want the title deeds would you not?

Has it not struck anyone that the reported £1.2 Million must have included
the shares of our Bosman directors, and that perhaps it was the Trusts
shares that stopped a total transfer?

   Any comment AF?

Just went back and checked the club site, sorry.
http://www.dumbartonfootballclub.com/news/?mode=view&id=812

So was it the Golden Share that hampered matters, and would it be a good
time for the Trust to stake a claim to their ownership and control?

Not at the wind up. Just remember NR stating a figure of £600k, assumed
that the 1.2M quoted in the paper included the hingers on and wondered who
was nt selling their share, thats all.

No official word from the club then?

Aye, Alec, very good.
The 'collapse' of the bid has feck all to do with the Trust.
Any figures quoted are pure speculation as no-one, save for the parties
involved, would know.

Latest from Cappielow is that the pitch is 'being monitored' -
www.dumbartonfootballclub.com
Officially the game has every chance, unofficially start making plans for
another Saturday traipsing round DIY stores.
And so to the reported buyout collapse. The Metro newspaper cites as a reason
for the withdrawal of the bid a potential problem with assets, the comment being
attributed to Philip Mills. Hmmm.

PnB lists two developments:

One, that the morton game tomorrow may not go ahead, despite covers some
parts of the park are still borderline.

Two, a sons fan has posted that Philip Mills has withdrawn his interest
due to a lack of control over the clubs assets even as the majority
shareholder.

First I've heard on the buyout other than the be patient messages, any
substance to it?

"A Dubai based businessman has abandoned his £1.2 million bid to buy Dumbarton
(F.C.). Locally born Philip Mills, boss of the Mills Bowley Investment Group had
expected to complete his takeover bid this week but pulled out because he was
not allowed a 100% shareholding. When the club built their new stadium 100
Golden Shares were issued with the aim of preventing asset stripping. Neil
Rankine the club's current owner said: "He would have been like Brooks Mileson
for this club and taken it to the Premier League. I find it hard to believe with
the money already in the bank that they have pulled out on an issue which could
have been easily resolved."
