What has happened to our stock is very disturbing to both Dean and I. We
are not accusing anyone of anything. Naturally, promoters feel that
someone is pre-selling restricted shares. Given where these shares sit
at the moment, I know that is not possible. Of course shareholders
wonder if the promoters are playing games. I have a way of tracking
that. It does not seem to be the case. Something is going on that I
cannot at this time fully understand.



I'm very angry about what has happened. Especially since it hurts some
of our larger stakeholders who have provided valuable services to our
company and are other shareholders. For this reason, we spoke to a
number of folks that may be able to shed some light on what has
happened. We wanted to find someone whose knowledge and resources are
second to none and have a passion for this. Someone who has a long
history as an advocate for companies being victimized like Circa.





Dean and I are going to hire a gentlemen named Tom Ronk. One of his
business associates and someone who will be an advocate for us with
FINRA and NASD is Harvey Pitt, former Chairman of the SEC.  Dean and I
will fund this out of our personal funds. I believe Tom and I have
mutual business associates. He lives with-in one mile from my second
residence I keep in LA. Please see what he provides below.



Tom has been on CNN and he is the guy that Paul, CEO of Overstock.com
got involved in this. Paul was one of his first clients.I intend to do
something similar to what Paull does on his web site.



It should be clear to you that we are not selling massive amounts of
shares. Dean and I want to get to the bottom of this and we are willing
to spend the time and resources to get it done.



It will be clear what direction Circa will go in once the dust settles
and we understand what is going on. I hope we are able to continue and
re-start this again more well armed about what is going on. Tom did a
quick and dirty analyses and he indicated that our short position is at
least 2.5 million and probably much higher.
