The following are the amendments to the MVLA constitution to be voted
on at the February AGM:

Proposed Amendment for new club 501c3 status by Jack Daw

The amendment makes changes to the constitution reflecting our new
501c3 status.

insertion of 1:02:02 The organization is organized exclusively for
charitable and educational purposes under section 501 (c) (3) of the
Internal Revenue Code.

insertion of 2:09:02 No part of the net earnings of the
organization shall inure to the benefit of, or be distributable to,
its members, trustees, officers or other private persons, except that
the organization shall be authorized and empowered to pay reasonable
compensation for services rendered and to make payments and
distributions in furtherance of the purposes set forth in the purpose
clause hereof. No substantial part of the activities of the
organization shall be carrying on of propaganda, or otherwise
attempting to influence legislation, and the organization shall not
participate in, or intervene in (including the publishing or
distribution of statements) any political campaign on behalf of any
candidate for public office. Notwithstanding any other provision of
this document, the organization shall not carry on any other
activities not permitted to be carried on (a) by an organization
exempt from federal income tax under section 501 (c) (3) of the
Internal Revenue Code, or corresponding section of any future federal
tax code, or (b) by an organization, contributions to which are
deductible under section 170 (c) (2) of the Internal Revenue Code, or
corresponding section of any future federal tax code.

insertion of 2:10 DISSOLUTION (moving Rules of order to 2:11)
2:10:01 Upon the dissolution of the organization, assets shall be
distributed for one or more exempt purposes within the meaning of
section 501 (c) (3) of the Internal Revenue Code, or corresponding
section of any future federal tax code, or shall be distributed to
the federal government, or to a state or local government, for a
public purpose.


Proposed Amendment to be consistent with Abronzino's new promotion
rules by Rodney Robinson:

insertion at the beginning of the sentance to 4:03:04 "If the
division 1 playing league allows and"


Proposed Amendment to be consistent with CYSA definitions by Rodney
Robinson

Change all references of class 1 to division 1
Change all references of class 3 to division 3


Proposed Amendment eliminating the 3 team limit per age gender age
group and eliminating the challenge per current Abronzino rules. I
am just attaching the 4:03 replacement text to this email. You can
see Joe's writeup on the MVLA coaches group, file section "2008
number of teams amendment.pdf".

Eliminate all of section 4:03

Replace with the following:

4:03 NUMBER OF TEAMS

4:03:01 The club should be comprised of teams in each age group and
gender starting with
Spring under-8.

4:03:02 The Board of Directors may authorize the creation of up to 4
teams in any age group,
subject to the availability of field space and qualified players.
