The Astros asked him to go see Dr. James Andrews in Atlanta (am I
right on the location?) to find out if his shoulder is ready for
baseball. Andrews is the big guy for that kind of surgery.
Bagwell says he'll be good to go by the season; the team seems to
disagree, which is why they asked him to go see Dr. Andrews. Andrews
and his team said Bagwell can't play, though I'm not sure if they
meant as of right now (which is certainly true) or in a few months.
If he is declared unfit to play, $15 mil of his $17 mil salary will
be paid by an insurance company - he gets his cash, the team saves
money, he doesn't play. It's turned into a rather nasty spat between
Jeff Bagwell and the front office, but he says he's ready to go and
he's going to try and report to spring training. He also says the
team is trying to force him out, which they deny; he says his
relationship with the Astros may permanently damaged, which I take to
mean no coaching or personal services in the future.

But that is just a guess.
